SERVICE PROVIDER AGREEMENT
BETWEEN RELAX SALOONS PERSONAL CARE PRIVATE LIMITED AND BEAUTY & WELLNESS SERVICE PROVIDERS
This Service Provider Agreement ("Agreement") is made and entered into on this _____ day of __________, 20 ("Effective Date")
Parties
- RELAX SALOONS PERSONAL CARE PRIVATE LIMITED, a Company incorporated under the Companies Act, 2013, having its registered office at 1-10-27/34/A/1/M/4, Prakash Nagar, Begumpet, Begumpet, Hyderabad, Secunderabad, Telangana, India, 500016 (hereinafter referred to as the "Platform", which expression shall, unless repugnant to the context or meaning thereof, include its successors and permitted assigns) of the FIRST PART;
- AND [SERVICE PROVIDER NAME], a [Salon/Spa/Individual Beautician/Freelance Professional], having its principal place of business/residence at _________________________________, PAN: _____________, GST Registration Number (if applicable): _____________ (hereinafter referred to as the "Service Provider", which expression shall, unless repugnant to the context or meaning thereof, include its successors, legal representatives, and permitted assigns) of the SECOND PART.
- The Platform and Service Provider are hereinafter collectively referred to as the "Parties" and individually as a "Party".
Recitals
- A. The Platform operates an online and mobile technology platform under the brand name "R Saloon" that connects customers seeking beauty, wellness, and personal care services with qualified service providers including salons, spas, beauticians, makeup artists, and other professionals in the beauty and wellness industry;
- B. The Service Provider is engaged in the business of providing beauty, wellness, grooming, and personal care services and possesses the requisite skills, qualifications, licenses, infrastructure, and expertise to provide such services professionally;
- C. The Service Provider desires to utilize the Platform's technology infrastructure, customer base, marketing services, and operational support to expand its business reach and increase service bookings;
- D. The Platform desires to onboard the Service Provider onto its platform to offer a comprehensive range of beauty and wellness services to its customer base;
- E. The Parties wish to enter into this Agreement to define the terms and conditions governing their commercial relationship, including service delivery, revenue sharing, quality standards, customer experience, data protection, and intellectual property rights;
- NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. DEFINITIONS AND INTERPRETATION
- 1.1 Definitions
- "Booking" means a confirmed appointment made by a Customer through the Platform for availing services from the Service Provider.
- "Commission" means the percentage or fixed amount payable by the Service Provider to the Platform for each successfully completed Booking, as specified in Schedule A.
- "Customer" means any individual or entity who books and avails services from the Service Provider through the Platform.
- "Customer Data" means all personal and non-personal information relating to Customers collected, processed, or accessed through the Platform.
- "Force Majeure Event" means any event beyond the reasonable control of a Party including but not limited to acts of God, war, terrorism, riots, civil commotion, strikes, lockouts, epidemics, pandemics, government orders, natural disasters, fire, flood, or failure of telecommunications or internet services.
- "Gross Transaction Value (GTV)" means the total amount paid by the Customer for services, including all taxes, service charges, and any other applicable fees.
- "Intellectual Property Rights" means all patents, trademarks, service marks, trade names, copyrights, trade secrets, know-how, database rights, design rights, and all other intellectual property rights (whether registered or unregistered) and all applications for the same.
- "Platform" means the mobile application, website, and any other digital interface operated by the Intermediary under the brand name [PLATFORM NAME].
- "Professional Standards" means the quality benchmarks, hygiene protocols, safety standards, and service delivery guidelines specified by the Platform from time to time.
- "Services" means all beauty, wellness, grooming, and personal care services offered by the Service Provider through the Platform, as listed in Schedule B.
- "Service Fee" means the amount charged by the Service Provider for rendering Services, excluding any discounts, promotions, or Platform commissions.
- "Term" means the duration of this Agreement as specified in Clause 3.
- 1.2 Interpretation
- 1.2.1 Headings are for convenience only and shall not affect the interpretation of this Agreement.
- 1.2.2 Words importing the singular include the plural and vice versa; words importing gender include all genders.
- 1.2.3 References to Clauses and Schedules are to clauses of and schedules to this Agreement.
- 1.2.4 References to any statute or statutory provision include a reference to that statute or statutory provision as amended, consolidated, or re-enacted from time to time.
2. SCOPE OF SERVICES AND PLATFORM ACCESS
- 2.1 Platform Services
- 2.1.1 Technology Access: Access to the Platform's mobile application and web portal for receiving, managing, and fulfilling customer bookings.
- 2.1.2 Customer Acquisition: Marketing, advertising, and promotional activities to generate customer bookings for the Service Provider.
- 2.1.3 Booking Management: Technology infrastructure for appointment scheduling, calendar management, real-time notifications, and booking confirmations.
- 2.1.4 Payment Processing: Integrated payment gateway services enabling customers to make digital payments, with settlement to the Service Provider as per the payment terms.
- 2.1.5 Customer Support: Dedicated customer service team to handle inquiries, complaints, cancellations, and dispute resolution.
- 2.1.6 Analytics and Reporting: Access to dashboard and reports showing booking statistics, revenue analytics, customer feedback, and performance metrics.
- 2.1.7 Brand Promotion: Listing and promotion of the Service Provider's profile, services, photos, and offerings on the Platform.
